Charity and NGO platform terms

These Charity and NGO Platform Terms (“NPO Terms”) apply to any charity, non-profit, NGO, or mission-driven organisation (“you”) that applies for, or uses, the charity tools on the effort.giving platform: profiles, dashboards, project listings, update posting, evidence upload, and reporting tools (the “Platform Tools”).
1. Who provides what, read this first
EffortX Labs Pte. Ltd. (UEN 202532502H, Singapore, “Labs”, “we”) provides the Platform Tools: software only. Labs is a technology company. It is not a charity, does not hold or transfer donated funds, and makes no decisions about funding.
EffortX Foundation Ltd (ACN 693 961 330, Australia, the “Foundation”) is an Australian not-for-profit company limited by guarantee. Its ACNC charity registration application is under assessment. The Foundation, not Labs, is the entity that receives donations, verifies milestones, disburses funds to implementing partners, and issues any donor acknowledgements. Labs provides the Platform Tools to the Foundation under a services agreement.
2. Precedence, the most important clause in this document
These NPO Terms govern your use of software only. Everything concerning money, funding, donations, earmarking, milestones as funding conditions, disbursements, payouts, receipts, refunds, audit, compliance with charity law, is governed exclusively by your written agreement with EffortX Foundation Ltd (such as a Partner Memorandum of Understanding), and nothing in these NPO Terms applies to those matters. If anything in these NPO Terms appears to conflict with your Foundation agreement, the Foundation agreement prevails and the conflicting provision here does not apply to you. If you have no Foundation agreement, you have access to Platform Tools only and no entitlement to funding of any kind.
3. Acceptance and authority
By clicking to accept, applying for onboarding, or using the Platform Tools, you confirm you are authorised to bind your organisation, and your organisation agrees to these NPO Terms. If you do not agree, do not use the Platform Tools.
4. Eligibility and onboarding
4.1 You must provide accurate registration details, governance information, and supporting documentation, and keep them current (notify us of changes promptly).
4.2 Onboarding to the Platform Tools may be accepted, rejected, paused, or revoked for compliance or risk reasons. Onboarding to the Platform Tools is not onboarding as a funded partner: that requires a separate agreement with the Foundation (clause 2).
5. Your responsibilities using the Platform Tools
5.1 You are responsible for the accuracy of all content you publish: project descriptions, beneficiary information, progress updates, and evidence.
5.2 You must not use the Platform Tools unlawfully, misleadingly, or harmfully. You must not upload content that infringes others’ rights or contains malware, and must not misrepresent your projects, outcomes, or use of funds.
5.3 You must present projects honestly, post updates in good faith, and keep evidence links accessible. We may review content before it is shown publicly.
6. Content and intellectual property
6.1 You retain ownership of content you upload. You grant Labs and the Foundation a non-exclusive, royalty-free licence to host, display, and distribute it for operating and promoting the platform, for as long as you use the Platform Tools.
6.2 The platform software, the EffortX name, logos, and brand assets belong to Labs. You may identify yourself as listed on effort.giving while in good standing. Any other use of EffortX branding requires written permission or a brand clause in your Foundation agreement.
6.3 Assets created or paid for by the EffortX side for your organisation (logos, websites, photography, social accounts) are governed by your Foundation agreement, not these NPO Terms.
7. Data and privacy
7.1 Each party complies with privacy law applicable to it (for Indonesian organisations, UU 27/2022 (PDP); for the platform, the laws stated in the Privacy Policy).
7.2 You must not sell, misuse, or harvest any personal data accessed through the Platform Tools, and you handle beneficiary data (including images of children) in line with your safeguarding obligations.
8. Suspension and removal
We may suspend or remove your access, profile, or any listing where content is misleading, a safeguarding or legal risk arises, or these NPO Terms are materially breached. Where your organisation has a Foundation agreement, suspension or termination of funding is governed by that agreement alone. We will coordinate so software access decisions and funding decisions are consistent.
9. Disclaimers and liability (software only)
9.1 The Platform Tools are provided “as is”. We do not guarantee uninterrupted availability, fundraising results, or project outcomes.
9.2 Labs’ total aggregate liability to you under these NPO Terms is limited to SGD 1,000(the Platform Tools are provided without charge). Nothing limits liability that cannot lawfully be limited, or either party’s liability for fraud or wilful misconduct. Liability relating to funding matters is governed by your Foundation agreement, not these NPO Terms.
9.3 You indemnify Labs against third-party claims arising from your content or your breach of these NPO Terms.
10. Term, termination, and changes
10.1 These NPO Terms apply until your access ends. Either side may end Platform Tools access on notice. Ending software access does not by itself terminate any Foundation agreement (and vice versa, see clause 2).
10.2 We may update these NPO Terms by publishing a new version. Material changes require your re-acceptance (a fresh click-through) before continued use. The version and language you accepted are logged.
11. Language
For Indonesian organisations these NPO Terms are presented in Bahasa Indonesia and English. The English version controls (per the parties’ agreement under Perpres 63/2019). The Bahasa version is a sworn reference translation.
12. Governing law and contact
These NPO Terms (software matters only) are governed by the laws of Singapore. Your Foundation agreement is governed by its own clause (New South Wales, Australia, for the standard Partner MOU).
