EffortX Labs Pte. Ltd. (UEN 202532502H, 160 Robinson Road #14-04, Singapore 068914, “Labs”) builds and operates the Platform software. Labs is a technology company, not a charity, bank, payment processor, or adviser.

EffortX Foundation Ltd (ACN 693 961 330, 1 Lychee Drive, Rosebank NSW 2480, Australia, the “Foundation”) is an Australian not-for-profit company limited by guarantee. Its application for registration as a charity with the ACNC is under assessment, and DGR endorsement is being sought from the ATO. The Foundation receives donations made by card on the Platform, holds them, disburses them to verified partner charities against evidence of delivery, and is responsible for charitable activity.

In short: software questions are between you and Labs. Donation questions are between you and the Foundation. These Terms cover the software. Donations are governed by the Donation Terms, which prevail over these Terms for anything donation-related.

The Platform lets you discover vetted charitable projects, follow progress and milestone evidence, donate (to the Foundation, see the Donation Terms), and view the public transparency ledger. Vetting reflects checks the Foundation performs on partners. It is not a guarantee of outcomes, and project delivery in difficult environments carries inherent risk.

You must be 18 or older to create an account or donate. You agree to provide accurate information, keep your login secure, and use the Platform lawfully. You must not misuse the Platform, including scraping donor or beneficiary data, posting unlawful or infringing content, attempting to bypass security, or misrepresenting affiliation with any charity. We may suspend or close accounts that breach these Terms, with notice where practicable.

Some projects are delivered by independent partner organisations under written agreements with the Foundation. Partners are responsible for their own operations and governance. Charities using platform tools are additionally bound by the Charity and NGO Platform Terms.

The Platform software, EffortX names, logos, and brand assets belong to Labs. Content published by charities belongs to them, licensed to the Platform for display. You may not copy, scrape, or reuse Platform content at scale without written permission. Personal, non-commercial sharing of project pages is welcome.

Personal information is handled per the Privacy Policy, which explains the roles of the Foundation (donor data) and Labs (platform operations), and your rights.

Nothing on the Platform is financial, legal, tax, or investment advice, and nothing is an offer of securities. Tax treatment of donations is summarised in the Donation Terms.

Where a partner’s own QRIS code or bank account details are displayed, payments made to them go directly to that partner, not to the Foundation or Labs. Neither the Foundation nor Labs processes, receives, or receipts those payments. See Donation Terms section 8.

9.1 The Platform is provided “as is” and “as available”. To the extent permitted by law, neither Labs nor the Foundation guarantees accuracy, availability, or fitness for purpose, and neither is liable for indirect or consequential loss arising from Platform use.

9.2 Australian Consumer Law: nothing in these Terms excludes, restricts, or modifies any consumer guarantee or right under the Competition and Consumer Act 2010 (Cth) that cannot lawfully be excluded. Where liability for breach of a non-excludable guarantee can be limited, it is limited to resupply of the relevant service.

9.3 You indemnify Labs and the Foundation against claims arising from your unlawful use of the Platform or breach of these Terms.

We may update these Terms. Material changes are notified on the Platform and require your acceptance at next sign-in. The version you accepted is logged. Non-material updates take effect on publication.

If any provision is unenforceable, the rest survive. These Terms plus the documents they reference are the entire agreement about Platform use. Governing law: these Terms (software matters), Singapore; the Donation Terms (your gift to the Foundation), New South Wales, Australia.
